Paid Account Agreement(demo)

1. Parties and Scope

This agreement governs the service relationship between VioAI and a Business that purchases a paid package.

2. Definitions

• Package: the annual product capacity purchased by the Business (10, 20, 30 or 50 products) and the associated AR/3D generation entitlement.
• Annual Period: 365 days from the date of purchase.
• Business Content, End User: as defined in the Free Account Agreement.

3. Scope of Service — Paid Package

3.1. The package covers the full VioAI service, including AR/3D model generation, up to the purchased product limit.

3.2. There is no limit on the number of branches; the only limit is the total number of products.

3.3. A Business that reaches its package limit cannot add new products but may upgrade to a higher package.

4. Accounts and Roles

Same as article 4 of the Free Account Agreement.

5. Ownership of Business Content

Same as article 5 of the Free Account Agreement.

6. Retention of Images

Same as article 6 of the Free Account Agreement; the retention period applies for as long as the account remains open.

7. Payment and Billing

7.1. The package fee is charged once, annually, at the time of purchase; it is not an instalment plan and not a recurring (auto-renewing) subscription.

7.2. Prices are set in TRY, PLN or EUR according to the Business's country, based on the fixed list price in effect at the time of purchase.

7.3. No refunds are given. Closing or not using the account during the annual period does not create a right to a refund.

7.4. Downgrades are not possible. A Business may only upgrade to a higher package.

7.5. On upgrade, the difference between the annual prices of the current and the new package, prorated to the months remaining in the annual period, is charged as a one-time additional payment. An upgrade does not extend the end date of the current annual period.

8. Renewal

8.1. The service term under this Agreement is limited to the annual period of the purchased package and does not renew automatically.

8.2. VioAI attempts to notify the Business approximately 60 and 14 days before the end of the period, via an admin panel notification and/or direct contact; however, failure of this notice to reach the Business does not remove the restrictions applied at the end of the period.

8.3. If payment is not made by the end of the period, the account is granted a 14-day grace period (the "grace period"), during which the service continues unchanged. If payment is still not made by the end of the grace period, access to the admin panel and the presentation of products to end users (AR/QR pages) is suspended; Business data is not deleted.

8.4. Renewal is carried out by repurchasing one of the existing packages at its then-current price; upgrade/downgrade discounts or prorated-difference calculations do not apply to this transaction.

9. Service Continuity

Same as article 8 of the Free Account Agreement.

10. Intellectual Property

Same as article 9 of the Free Account Agreement.

11. Limitation of Liability

11.1. VioAI's total liability arising from this agreement is limited to the package fee paid by the Business in the last 12 months.

11.2. VioAI is not liable for indirect damages (such as loss of profit, loss of business or reputational harm).

11.3. These limitations do not apply in cases of intent or gross negligence, or to the extent mandatory law does not permit them.

12. Term and Termination

12.1. The agreement enters into force upon completion of payment and remains valid until the end of the annual period.

12.2. Termination during the period does not create a right to a refund (article 7.3).

12.3. Data export after termination is possible within the period stated in the Privacy Policy.

13. Changes

Same as article 12 of the Free Account Agreement.

14. Governing Law and Disputes

14.1. This agreement is governed by the laws of [COUNTRY].

14.2. [COMPETENT COURT/ARBITRATION] shall have jurisdiction over disputes.
