1. Parties
This agreement is between [COMPANY NAME], [ADDRESS], [TAX ID] ("VioAI") and the business opening a Free QR Menu account ("Business").
The agreement is formed when the account is created, on the representation that the person opening it is authorized to act for the Business.
2. Definitions
- Platform: the service offered at vioai.com and the VioAI mobile app.
- Free Plan: the free QR Menu account covered by this agreement — 1 branch, up to 50 products, 1-4 photos per product and an optional video of up to 12 seconds (see clause 3).
- Business Content: photos, videos, product information and brand assets uploaded by the Business or its staff.
- End User: a person viewing the Business's products by scanning a QR code or entering a store code.
3. Scope of service — Free Plan
3.1. The Free Plan lets the Business show its products to End Users via photos/video, reached through a QR code or store code.
3.2. The Free Plan does not include augmented reality (AR) / 3D model generation. That feature is only available on paid packages, under a separate Service Agreement.
3.3. The Free Plan is subject to these limits: 1 branch, up to 50 products, at least 1 and at most 4 photos per product, and an optional video of up to 12 seconds. Limits may change with notice; existing content is not deleted if a limit is lowered, only new additions may be restricted.
3.4. VioAI is not a point-of-sale, payment, ordering or inventory system. It carries out no part of the Business's commercial transactions.
4. Accounts and roles
4.1. The person who opens the account is the Manager and may invite staff, setting each staff member's permissions individually. The Business is responsible for actions taken by its staff.
4.2. The Business is responsible for keeping account credentials (especially the password) confidential and must notify VioAI promptly of any suspected unauthorized access.
4.3. The email and contact number provided at signup must be kept accurate and current — account notices and, where needed, identity verification rely on them.
5. Ownership of Business Content
5.1. Business Content belongs to the Business. VioAI claims no ownership over it.
5.2. The Business grants VioAI a limited, non-exclusive right to use Business Content solely to provide the service — to store, process, and display it to End Users as instructed by the Business.
5.3. Access to Content is limited to the Business's Manager and authorized staff. The sole exception: VioAI's Platform Administrator may access it only for technical support or misuse investigation; every access is logged.
6. Storage of images
6.1. Under the Free Plan, uploaded photos/video are kept for as long as the account remains open. Upon account closure they are deleted within the period stated in the Privacy Policy.
6.2. The Business may delete its own content from the panel at any time; this action cannot be undone.
7. Free Plan and upgrading to paid plans
7.1. The Free Plan is provided at no charge.
7.2. The Business may upgrade to a paid package at any time, at which point a separate Service Agreement and that package's terms apply.
7.3. VioAI may end the Free Plan or change its scope with reasonable prior notice; in that case the Business's data is not deleted, and the Business is given the option to upgrade to a paid package or export its data.
8. Service continuity
8.1. VioAI aims to provide uninterrupted service but does not guarantee it.
8.2. Planned maintenance is announced in advance.
8.3. The QR code experience depends on the End User's device and browser support; it may not work on some devices, which is not a defect.
9. Intellectual property
9.1. The Platform's software, design and brand belong to VioAI.
9.2. The Business's brand, logo and product information belong to the Business. VioAI uses them only to provide the service.
9.3. The Business represents that it holds the necessary rights or permissions for the content it uploads. The Business is responsible for content that infringes third-party rights.
10. Limitation of liability
10.1. As the Free Plan is provided without charge, VioAI's liability under this plan is limited to the maximum extent permitted by applicable law.
10.2. VioAI is not liable for indirect damages such as loss of profit, loss of business, or reputational harm.
10.3. These limitations do not apply in cases of intent or gross negligence, or where mandatory law does not permit them.
11. Term and termination
11.1. The agreement begins when the account is opened and continues until terminated by either party.
11.2. The Business may terminate at any time by closing its account.
11.3. VioAI may terminate with reasonable notice for breach of this agreement; the right to suspend immediately for serious violations is reserved.
11.4. Upon termination the Business may export its data within the period stated in the Privacy Policy; after that period content is deleted and cannot be recovered.
12. Changes
12.1. VioAI may amend this agreement. Material changes are announced in advance.
12.2. Every version of this agreement is numbered and archived. When the version changes, existing users are shown a re-acceptance screen.
13. Governing law and disputes
13.1. This agreement is governed by the laws of [COUNTRY].
13.2. [COMPETENT COURT/ARBITRATION] has jurisdiction over disputes.
